By accessing or using the Uniffy platform, website, and services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Uniffy Technologies Pvt. Ltd. ("Uniffy," "we," "us," or "our"). You represent and warrant that you have the legal capacity to enter into these Terms. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using Uniffy, you represent and warrant that you meet these requirements. Account Registration: • You must provide accurate, current, and complete information during registration • You are responsible for maintaining the confidentiality of your account credentials • You are responsible for all activities that occur under your account • You must notify us immediately of any unauthorized access or security breach We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete, or if you violate these Terms. Organizations: If you are using Uniffy on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Uniffy provides a unified platform for designing, distributing, and managing group insurance programs (GHI, GPA, GTL), employee rewards, and member commerce solutions. Our Services include: • Employee benefits administration and management • Group insurance policy distribution and claims processing • Rewards and recognition program management • Member commerce and bulk procurement solutions • Analytics, reporting, and compliance tools • API access and third-party integrations We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

Subscription Fees: • Certain features of the Services require payment of subscription fees • Fees are billed in advance on a monthly or annual basis, as selected by you • All fees are exclusive of applicable taxes, which will be charged as required by law • Fees are non-refundable except as required by law or as explicitly stated in these Terms Payment Terms: • You authorize us to charge your designated payment method for all applicable fees • If payment fails, we may suspend your access to paid features until payment is received • You are responsible for keeping your payment information current and accurate Subscription Changes: • You may upgrade or downgrade your subscription plan at any time • Downgrades will take effect at the end of your current billing cycle • Upgrades will be prorated and take effect immediately Free Trials: We may offer free trials of paid features. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not: • Use the Services in any way that violates applicable laws or regulations • Impersonate any person or entity, or falsely state your affiliation • Engage in fraudulent, deceptive, or misleading activities • Attempt to gain unauthorized access to any part of the Services • Interfere with or disrupt the integrity or performance of the Services • Use automated means (bots, scrapers) to access the Services without authorization • Upload or transmit viruses, malware, or other harmful code • Harvest or collect personal information of other users without consent • Use the Services to send unsolicited communications or spam We reserve the right to investigate and take appropriate action against anyone who violates this policy, including removing content, suspending accounts, and reporting violations to law enforcement.

Uniffy Content: All content, features, and functionality of the Services, including text, graphics, logos, icons, images, audio clips, software, and compilations, are owned by Uniffy or our licensors and are protected by copyright, trademark, and other intellectual property laws. Your Content: You retain ownership of any content you submit, post, or display on the Services ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Services. Feedback: Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without restriction or compensation to you. Trademarks: "Uniffy" and our logos are trademarks of Uniffy Technologies Pvt. Ltd. You may not use our trademarks without prior written permission.

Confidential Information: During your use of the Services, you may have access to confidential information of Uniffy or other users. You agree to maintain the confidentiality of such information and not disclose it to any third parties. Data Ownership: You retain all rights to your data uploaded to the platform. We will not use your data except as necessary to provide the Services or as required by law. Data Processing: We process personal data in accordance with our Privacy Policy and applicable data protection laws. We implement appropriate technical and organizational measures to protect your data. Security Incidents: In the event of a security breach affecting your data, we will notify you in accordance with applicable laws and take reasonable steps to mitigate the breach.

By You: You may terminate your account at any time by following the instructions in your account settings or contacting us. Upon termination, your right to use the Services will immediately cease. By Us: We may suspend or terminate your account and access to the Services at any time, with or without cause, including if: • You violate these Terms or any applicable laws • Your use of the Services poses a security risk or harms other users • You fail to pay applicable fees when due • We discontinue the Services Effect of Termination: • All licenses and rights granted to you will immediately terminate • We may delete your account data in accordance with our data retention policies • Provisions that by their nature should survive termination will survive • You remain liable for all amounts due up to the date of termination Data Export: Upon request within 30 days of termination, we will provide you with a copy of your data in a commonly used format, subject to applicable fees.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including: • Merchantability, fitness for a particular purpose, and non-infringement • That the Services will be uninterrupted, timely, secure, or error-free • That the results from using the Services will be accurate or reliable • That any errors in the Services will be corrected Insurance Disclaimer: Uniffy is a technology platform, not an insurance company. Insurance products offered through the platform are underwritten by licensed insurance providers. We do not provide insurance advice or recommendations. You assume all risk for your use of the Services and any reliance on information provided through the platform.

To the fullest extent permitted by law, Uniffy and its affiliates, officers, employees, and agents will not be liable for: • Indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Damages arising from your inability to use the Services • Damages arising from unauthorized access to your data Our total liability for any claim arising from or relating to these Terms or the Services will not exceed the greater of: • The amount you paid us in the 12 months preceding the claim, or • INR 10,000 (Indian Rupees Ten Thousand) Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Uniffy and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: • Your access to or use of the Services • Your violation of these Terms or any applicable laws • Your User Content or any content you submit • Your negligence or willful misconduct • Any dispute between you and another user or third party We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Dispute Resolution: • Any dispute arising from these Terms will first be attempted to be resolved through good faith negotiations • If negotiations fail, disputes will be resolved through binding arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996 • The arbitration will be conducted in English by a single arbitrator appointed by mutual agreement • Judgment on the arbitration award may be entered in any court of competent jurisdiction Class Action Waiver: You agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. Injunctive Relief: Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Uniffy regarding the Services. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. Force Majeure: We will not be liable for any failure or delay in performance due to causes beyond our reasonable control. Notices: All notices to us should be sent to [email protected]. Notices to you may be sent to the email address associated with your account. Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
